This Interest Protection Agreement is made on this the , of the Christian Era,
Between: having an office at, represented by hereinafter referred to as the FIRST PARTY.
And
Canadian Overseas Business Inc., having an address at 40 Norbury Drive, Markham, ON L3S 3V2, Canada, represented by Dr. M Haider Uzzaman, President & Director hereinafter referred to as the SECOND PARTY.
Whereas, the Second Party is an Investment Consultant desirous of connecting the First Party to potential investors.
Now that Both Parties have agreed to work together under the following terms and conditions:
- That the First Party shall provide all documents, data, information, as required for the study of the Second Party. The First Party shall also support the Second Party with appropriate evidences, as required to convince the potential Investment Bankers/Investors of the Second Party.
- That the First Party shall protect the interest of the Second Party and shall not circumvent the Second Party by contacting the Investment Bankers/Investors of the Second Party directly without the written authorization of the Second Party.
- That the First Party shall keep the Second Party in all communications between the First Party and the Investment Bankers/Investors introduced by the Second Party.
- That this Agreement is made for a period of 12 Months, from the date of signing. Renewal of the same may only take place on a mutual understanding between the two Parties.
- That the Second Party shall not divulge any part of the information of the First Party, without the consent of the First Party.
- That this Agreement is established according to the laws of the Republic of Singapore, and subject to its exclusive jurisdiction. Both Parties agree to resolve any dispute arising out, amicably among the parties, failing to do so, the matter may be referred to the Singapore International Arbitration Center (SIAC) for Settlement.
Both the Parties have agreed to the terms and conditions, and full content of this Interest Protection Agreement, and put their respective signatures on this the date first mentioned hereinabove:
